The Outbound Investment Restrictions Landscape

The U.S. government has established new outbound investment regulations to restrict investments that could advance the development of certain critical technologies in specific countries of concern, including China: 

  1. Semiconductors and microelectronics: Advanced chip design and manufacturing capabilities that could have military applications

  2. Quantum information technologies: Next-generation computing with potential defense and encryption implications

  3. Artificial intelligence (AI) systems: AI capabilities that could enhance surveillance or military systems

The rule applies globally to entities owned 50% or more by covered foreign persons.

The Trump administration’s February 2025 “America First Investment Policy” memorandum signals the likely expansion of outbound investment restrictions, including the targeting of additional sectors contributing to China’s national military-civil fusion strategy.

The European Commission and the United Kingdom have also initiated reviews of measures to screen outbound investment risks.
